The issuance of the notes is subject to market and other conditions. In accordance with Section 144A of the U.S. Securities Act of 1933 and its amendments (the "Securities Act"), private placement is made to persons who reasonably believe to be qualified institutional buyers. It also conducts offshore transactions against certain non-Americans in accordance with Regulation S under the Securities Act. The Company expects to grant the initial purchaser of the notes the option to purchase additional notes up to a total principal amount of US$500 million, with the option to exercise within 13 days from and including the date of issuance of the notes.
